Terms of Service

Effective Date: February 8, 2026

These Terms of Service ("Terms") govern your access to and use of the services provided by Tradeforce ("Company," "we," "us," or "our"). By using our services, you agree to be bound by these Terms.

1. Description of Services

Tradeforce provides managed commercial bidding services for specialty trade contractors, including market intelligence, estimate distribution, follow-through communications, and pipeline management. Our services are designed to support your business development efforts but do not guarantee any specific outcomes, including awarded contracts.

2. Territory Exclusivity

Subject to service agreement terms, Tradeforce offers exclusive territory coverage on a per-trade, per-Metropolitan Service Area basis. Territory exclusivity is subject to availability and is granted on a first-come, first-served basis. We reserve the right to modify territory boundaries or definitions at our discretion with reasonable notice.

3. No Guarantee of Results

TRADEFORCE DOES NOT GUARANTEE THAT YOU WILL WIN ANY CONTRACTS, BIDS, OR PROJECTS AS A RESULT OF USING OUR SERVICES. Our services are intended to increase visibility and follow-through on bidding opportunities, but the decision to award contracts rests solely with general contractors and project owners. Past performance and case studies are not guarantees of future results.

4. Client Responsibilities

As a client, you agree to:

  • Provide accurate and timely information about your company, capabilities, and estimates
  • Respond to bid opportunities and requests within reasonable timeframes
  • Maintain appropriate licensing, insurance, and bonding for your trade
  • Honor estimates and commitments made through our services
  • Pay all fees in accordance with your service agreement

5. Intellectual Property

All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and methodologies, are the exclusive property of Tradeforce and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our proprietary systems or processes.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary business information exchanged during the service relationship. This includes, but is not limited to, pricing structures, client lists, bidding strategies, and market intelligence data.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADEFORCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the total fees paid by you to Tradeforce in the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that our services will be uninterrupted, error-free, or secure.

9. Indemnification

You agree to indemnify, defend, and hold harmless Tradeforce and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your breach of these Terms, your use of our services, or your violation of any rights of a third party.

10. Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Atlanta, Georgia, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs and attorney's fees.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.

12. Termination

Either party may terminate services in accordance with the terms of the applicable service agreement. Upon termination, your access to our platform and services will be discontinued. Provisions relating to intellectual property, confidentiality, limitation of liability, and dispute resolution shall survive termination.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through our platform. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
